TopBuild to Acquire Johnson Roofing in Texas

Deal expands commercial roofing footprint

TopBuild Corp. has entered into an agreement to acquire Johnson Roofing, one of the largest commercial roofing installation services companies in Texas, as the company continues to expand its commercial roofing platform.

Financial terms of the transaction were not disclosed. Johnson Roofing generates approximately $29 million in annual revenue.

Founded in 1941 and headquartered in Waco, Texas, Johnson Roofing is a third-generation, family-owned company providing commercial roofing services across Texas, Louisiana and Oklahoma. The company has built a long-standing presence in the region, serving general contractors and building owners on a range of commercial projects.

TopBuild, headquartered in Daytona Beach, Fla., is a leading installer and specialty distributor of insulation and related building products for the construction industry across the United States and Canada. In recent years, the company has been expanding its commercial roofing services platform as part of its broader growth strategy.

Robert Buck, President and CEO of TopBuild, said the acquisition aligns with the company’s focus on disciplined growth and shareholder returns.

“We are pleased to welcome the Johnson Roofing team to the TopBuild family as we build our commercial roofing services platform and continue our focus on compounding returns and driving greater shareholder value,” Buck said in a statement.

The acquisition will operate within Progressive Roofing, TopBuild’s commercial roofing services business. Nick Hadden, leader of Progressive Roofing, said the addition strengthens the company’s position in Central Texas and surrounding markets.

“The Johnson Roofing acquisition expands our offerings in Central Texas, allows us to capitalize on a very large, highly fragmented commercial roofing market and enables us to better serve our general contractor customers,” Hadden said.

The commercial roofing sector remains highly fragmented, particularly in regional markets across the South and Southwest, where local and family-owned contractors continue to play a significant role. Industry consolidation has accelerated in recent years as larger platforms seek to scale operations, broaden geographic reach and deepen relationships with national and regional general contractors.

For Johnson Roofing, the transaction represents a continuation of its long-standing legacy under new ownership while maintaining its operational focus and culture.

Sherri Johnson, leader of Johnson Roofing, said the company sees strong cultural alignment with TopBuild and Progressive Roofing.

“We are delighted to be joining the TopBuild commercial roofing team, as our fundamental culture of safety, driven by the pursuit of excellence, is very much aligned with the company,” Johnson said. “By joining forces with TopBuild and Progressive, I’m confident that our Johnson family legacy of customer service, supporting our field teams and doing an outstanding job will continue.”

TopBuild said the acquisition supports its strategy of growing through a combination of organic expansion and targeted acquisitions in complementary service lines and geographies. The addition of Johnson Roofing enhances the company’s presence in Texas and the broader Gulf Coast region, positioning it to pursue additional opportunities in a large and competitive commercial roofing market.
